Zillatech Ltd. – Terms of Service

1. Acceptance of Terms
By creating an account on, purchasing tokens for, or otherwise using the Zillatech AI‑influencer generator platform (the “Service”) you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

2. Provider & Contact
The Service is operated by Zillatech Ltd., Leoforos Kappari 34, Blue Water Village, House 125, 5290 Paralimni, Cyprus (“Zillatech,” “we,” “us”). Legal notices may be sent to hello@fannabe.com.

3. Eligibility
You must be 18 years or older and capable of forming a binding contract under applicable law. By using the Service you represent and warrant that you meet this requirement.

4. Description of the Service
Zillatech provides cloud‑based tools that allow registered users to generate AI‑created images, video, sound and lip‑synced media (collectively, “Outputs”). The platform does not accept user‑supplied photos, videos, or other media uploads.

5. Accounts, Tokens & Payments
The Service operates on a prepaid token model. Tokens are debited each time you request an Output.
‍Fees are non‑refundable except as required by applicable law. If a refund or chargeback is processed, all remaining tokens in the affected account are automatically revoked.

6. Rights in Outputs
‍Copyright ownership. Zillatech retains copyright and all other intellectual‑property rights in the underlying models and in each Output it generates.
‍User licence. Upon full payment of applicable fees, Zillatech grants you an exclusive, worldwide, perpetual, sublicensable and royalty‑free licence to use, reproduce, modify and commercially exploit the specific Outputs generated for you. This licence is subject to your continued compliance with these Terms and automatically terminates if you materially breach them.
‍Re‑use by Zillatech. You grant Zillatech a worldwide, perpetual, royalty‑free right to store, analyse and display Outputs for the purposes of (i) improving and training its models and (ii) marketing or demonstrating the Service.

7. Prohibited ContentYou may not request, generate or attempt to generate Outputs that: 1. Violate any applicable law or regulation; or 2. Promote hate or violence against a protected class or content whose primary purpose is hateful.

8. Platform Rules
You shall not (and shall not permit any third party to): * Reverse‑engineer, decompile or disassemble the Service or its underlying models; * Probe, scan or test the vulnerability of the Service or circumvent security measures; * Access the Service via automated means (bots, scripts, scrapers) except through a Zillatech‑approved API; * Sell, resell, rent, or lease tokens or access to the Service; or * Use the Service or Outputs to create competing AI models.

9. Termination
Zillatech may suspend or terminate your access at any time for any violation of these Terms, suspected fraudulent activity, non‑payment, or to comply with law‑enforcement requests. Upon termination your licence to use Outputs ends and unused tokens are forfeited. Sections 6, 9, 10, 11, and 12 survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” ZILLATECH MAKES NO WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON‑INFRINGEMENT.

11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZILLATECH’S TOTAL LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE WILL NOT EXCEED (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE CLAIM OR (B) ONE HUNDRED EUROS (€100)—WHICHEVER IS GREATER. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES.

12. Indemnification
You will indemnify and hold harmless Zillatech, its directors, employees and affiliates from any claim, demand or liability arising out of (i) your misuse of the Service or Outputs, (ii) your violation of these Terms or of any law, or (iii) your breach of any third‑party right.

13. Governing Law
These Terms are governed by the laws of Cyprus, without regard to conflict‑of‑laws principles. Subject to Section 14, the courts of Cyprus have exclusive jurisdiction over all disputes arising out of or relating to these Terms.

14. Dispute Resolution – Arbitration & Small‑Claims Carve‑Out
Except for individual claims that qualify for adjudication in a Cyprus small‑claims court (claims not exceeding €5,000 in value), any dispute arising out of these Terms shall be finally resolved by binding arbitration conducted under the rules of the Cyprus Arbitration & Mediation Centre (CAMC) in force at the time. The seat of arbitration shall be Nicosia, Cyprus. EACH PARTY WAIVES THE RIGHT TO PARTICIPATE IN A CLASS OR REPRESENTATIVE ACTION.

15. Assignment
Zillatech may assign or delegate any of its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganisation or sale of assets.

16. Changes to These Terms
We may modify these Terms at any time by posting the revised version on the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes.
